Summary of Decision:
• The Ministry of Colleges and Universities received approval for the amendments to The Laurentian University of Sudbury Act, 1960:
o reduce the Board of Governors size to 16 (5 LGIC appointees + 1 President + 10 other members) from 25 members, and make consequential and transitional amendments as needed to implement the change; and;
o clarify that the Lieutenant Governor In Council (LGIC) can fill mid-term vacancies among LGIC-appointed members.
Analysis of Regulatory Impact:
• This proposal is not expected to introduce additional regulatory burden or costs to Laurentian University.
• Currently, Laurentian's Board is to consist of 25 members, 9 of which are elected from nominations submitted from its former federates (i.e., University of Sudbury, Huntington University and Thorneloe University). Now that these Universities are no longer federated with Laurentian - the new Board size would be indicative of this reduced representation. This new structure would also equip the University with a Board size that can better respond to the University's focus on driving a future financially stable organization focused on supporting student success.
• The proposed amendments would also clarify that the Board would fill mid-term vacancies among the Board-elected members and the LGIC would fill vacancies among the LGIC-appointed members. Given the importance of the Board in making decisions regarding the University's future as it emerges from the CCAA process, ensuring that there are always 5 members on the Board appointed by the LGIC is important - it gives government "a say" into the membership of the Board. This is consistent with other university legislation.
