Summary of Decision:
The amendments to the Art Gallery of Ontario Act to modernize its governance and oversight framework will:
•Change the board appointment term requirements from three-year fixed terms to "up to three years at pleasure";
•Remove the legislative requirements for an agency board member to remain on a board (beyond the member's appointment Order In Council expiry date) until the member is reappointed or replaced by a new member;
•Remove the requirement for one year to elapse, after serving two consecutive terms, before a board member can be re-appointed; and
•Incorporate a "protection from personal liability" provision for directors.
Analysis of Regulatory Impact:
The proposed legislative changes will modernize appointment terms to increase flexibility, support business continuity, and strengthen the decision-making structure and processes of the Art Gallery of Ontario by:
- Reducing administrative inefficiencies and delays;
- Increasing business flexibility through strengthened transfer payment entity oversight and governance;
- Clarifying rules to reduce confusion for the public and support business success;
- Streamlining and simplifying processes to appoint board members so that the TPE can focus on economic competitiveness and creating jobs; and
- Making it easier for people and business to interact with government.
