Summary of Proposal:
As part of the Bill 185 Cutting Red Tape to Build More Homes Act 2024, the Ministry of Colleges and Universities is proposing to amend Section 6 of the Université de Hearst Act, 2021 (Act) related to board composition. It is proposed that the board size would be reduced from 24 to 15 members.

The current composition of the board and the proposed changes are:

- The president of the University, who shall be a member by virtue of office (No changes)

- The chancellor of the University, if one is appointed, who shall be a member by virtue of office (No changes)

- One person appointed by the president of the University from among the vice-presidents or other senior officers of the University (Remove)

- Three persons elected by the teaching staff of the University from among themselves (Reduce to 1)

- Two persons elected by the students of the University from among themselves (Reduce to 1)

- Two persons elected by the non-teaching employees of the University from among themselves (Reduce to 1)

- Five persons appointed by the Lieutenant Governor in Council, who shall not be students, members of the teaching staff or non-teaching employees of the University (Reduce to 3)

- Nine other persons who shall be appointed by the board, who shall not be students, members of the teaching staff or non-teaching employees of the University (Reduce to 7)

If the current composition of Hearst's board of governors is amended, it would enable Hearst to have a smaller board proportionate to the size of the University and alleviate difficulties in implementing the current required composition of the board.

The proposed amendments would also include a transition provision to facilitate the transition from the current board to the new board structure.

To support implementation, consequential amendments to O. Reg. 153/22 (General) under the Act would also be required.

If approved, the proposed amendments would come into force on a day to be named by proclamation of the Lieutenant Governor.

Analysis of Regulatory Impact:
These proposed amendments would only impact the administrative processes of Hearst.This proposal is not expected to introduce additional regulatory burden or costs to government or Hearst. This proposal seeks to address Hearst's desire for a smaller board, aligned with the small size of the institution.
